Terms & Conditions

These Terms and Conditions ("Terms") govern your access to and use of all products and services offered by Signal Desk (Pty) Ltd("Signal Desk", "we", "our"). By accessing our services, you agree to be bound by these Terms.

1. Services Covered

These Terms apply to all Signal Desk products, including:

  • Signal Desk Municipal: WhatsApp service delivery infrastructure for local government, enabling residents to report issues and track resolution
  • Moja: Free community WhatsApp AI assistant providing access to information, document creation, and support in any South African language
  • Signal Desk Business: AI receptionist and operations management platform for businesses
  • Any other products, APIs, or services offered by Signal Desk

2. Accounts & Registration

  • You must provide accurate, current, and complete information when creating an account
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activity that occurs under your account
  • Notify us immediately of unauthorised access: hello@signaldesk.co.za
  • Signal Desk reserves the right to suspend accounts that provide false information

3. Payment Terms

Invoicing & Payment

  • Payment is due within 30 days from invoice date unless otherwise agreed in writing
  • All prices are quoted exclusive of VAT unless stated otherwise
  • VAT is charged at the prevailing South African rate
  • Late payments attract interest at prime lending rate plus 2% per annum, calculated daily
  • Non-payment beyond 30 days may result in suspension of services without further notice

Online Payments

  • All online payments are processed via a secure, PCI-DSS compliant payment gateway
  • Signal Desk does not store card details, CVV numbers, or full card numbers on its servers
  • Payment disputes must be raised within 60 days of the transaction date

4. Acceptable Use

You may not use Signal Desk services to:

  • Submit false, misleading, or fraudulent service delivery reports
  • Harass, threaten, or abuse other users, contractors, or Signal Desk staff
  • Distribute malware, spam, or unsolicited commercial messages
  • Attempt to gain unauthorised access to our systems or other users' data
  • Resell or sublicense Signal Desk services without prior written authorisation
  • Reverse engineer, decompile, or attempt to extract source code from our platform
  • Use the service for any purpose that violates applicable South African law

5. Intellectual Property

  • All content, software, trademarks, and IP on Signal Desk platforms is owned by or licensed to Signal Desk (Pty) Ltd
  • You are granted a limited, non-exclusive, non-transferable licence to use our services as intended
  • You retain ownership of content you submit, but grant Signal Desk a licence to process it to operate the service
  • The "+ Signal Desk" and "Moja" brands may not be used without written permission

6. Disclaimer of Warranties

  • Services are provided "as is" and "as available" without warranty of any kind
  • We do not warrant uninterrupted, error-free, or secure operation at all times
  • Service delivery outcomes remain the responsibility of the relevant municipality or contractor
  • Moja AI responses are for informational purposes only and do not constitute legal, medical, or financial advice

7. Limitation of Liability

To the maximum extent permitted by South African law:

  • Signal Desk shall not be liable for indirect, incidental, special, or consequential damages
  • Our total cumulative liability shall not exceed 3 months of fees paid by you in the preceding 12 months
  • These limitations apply regardless of the form of action (contract, delict, or otherwise)

8. Termination

  • Either party may terminate a subscription with written notice per our Refund & Cancellation Policy
  • Signal Desk may immediately suspend or terminate your account for material breach of these Terms
  • On termination, platform access ceases but data may be retained as required by law
  • Outstanding invoices remain payable after termination

9. Governing Law & Jurisdiction

These Terms are governed by the laws of the Republic of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the courts of Johannesburg, Gauteng.

10. Applicable Legislation

  • Consumer Protection Act 68 of 2008 — your consumer rights are fully preserved
  • Electronic Communications and Transactions Act 25 of 2002 (ECT Act)
  • Protection of Personal Information Act 4 of 2013 (POPIA)
  • Companies Act 71 of 2008

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email with at least 14 days notice. Continued use after the effective date constitutes acceptance.
